This obligation survives the termination of any service agreement and continues indefinitely unless the information becomes publicly available through no breach of these Terms.
To the maximum extent permitted by Dutch law, Zorqentra's total liability for any claims arising from or related to our services or these Terms shall not exceed the total fees paid by the client for the specific services giving rise to the claim in the twelve months preceding the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, even if we have been advised of the possibility of such damages. Investment performance cannot be guaranteed, and past performance does not indicate future results.
Our website and services are provided "as is" without warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, error-free, or completely secure. Investment advice and portfolio recommendations are based on available information and market conditions, which can change rapidly. You agree to indemnify, defend, and hold harmless Zorqentra, its officers, employees, and agents from and against any claims, damages, losses, costs, or expenses (including reasonable legal fees) arising from your use of our services, violation of these Terms, or infringement of any third-party rights.
Either party may terminate a service relationship at any time with reasonable notice as specified in the relevant service agreement. These Terms of Service are governed by and construed in accordance with the laws of the Netherlands. Any disputes arising from or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the competent courts in Utrecht, Netherlands. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.
Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, government actions, labour disputes, or technical failures. During such events, we will make reasonable efforts to continue providing services and will notify affected clients promptly.
